In June 2026 Heartland Group Holdings Limited agreed to acquire TSB Bank Limited from Toi Foundation for NZD 620 million and to merge it with Heartland Bank Limited to form TSB Heartland Bank Limited. Under the merger implementation agreement announced on June 2, 2026, Toi Foundation would retain a 17.5 percent shareholding in Heartland. Toi Foundation’s trustees approved the sale on August 26, 2026, the day after the High Court dismissed an application by a Taranaki community group seeking to block it. The transaction remains subject to Heartland shareholder approval and to New Zealand and Australian regulatory approvals, with completion targeted for December 2026.
