HYPO TIROL BANK AG, as a corporate group, is engaged in universal banking services, in insurance brokerage and in the leasing business in the state of Tyrol, in Italy, with its focus in South Tyrol, plus niche businesses in Zurich, Munich and Vienna. It maintains 21 business centers and 4 corporate customer offices in Austria, a branch in Munich, and 5 branches in Italy, with an overall total of more than 80,000 customers. As of December 31 2009, the Group had total assets of EUR 12.19 billion. The company was established in 1898 and is based in Innsbruck, Austria.

Major shareholders
At the general meeting on 8 July 2009, it was resolved that for purposes of strengthening equity capital and Hypo Tirol Group's own capital resources, the equity capital of HYPO TIROL BANK AG would be raised from company resources by EUR 32 million from EUR 18 million to EUR 50 million by converting the corresponding partial amounts from other profit reserves without issuing any new shares. The par value of the shares is EUR 20,83 (periodic). The only holder of the shares is Landes-Hypothekenbank Tirol Anteilsverwaltung therefore 100 percent of HYPO TIROL BANK AG is owned by the federal state of Tyrol. The transfer of shares is subject to the approval of the Supervisory Board. A transfer of shares held by Landes-Hypothekenbank Tirol Anteilsverwaltung which exceeds 25 per cent. of all shares plus one, or by which the participation of Landes-Hypothekenbank Tirol Anteilsverwaltung falls below 50 per cent. of all shares plus one is subject to the approval of the parliament of Tyrol.
